Terms of service

These Terms and Conditions of Use (the “Terms” or “Conditions”) govern the commercial relationship regarding your access to and use of the website pickstub.com (the “Platform”) and the PickStub service, which you, as a user (the “User” or “You”), enter into with Ticketero LLC (“PickStub”, “we”, “us” or “our”) through our website, mobile experience or by any other means we make available (the “Service” or “Services”). Each time a person accesses the Services, that person becomes a User. By accessing the Platform or using the Services, the User unconditionally agrees to be bound by these Terms in the version published online at pickstub.com at the time of access. We advise You to read these Terms carefully each time You use the Services, as they may be updated or modified by PickStub at any time without direct personal notice to the User. You may review the current version at any time by opening the Terms of service link at pickstub.com. Our collection and use of personal information in connection with the Services is governed by our Privacy Policy, available at pickstub.com. We may also provide a claims processor or insurer with information necessary (including your contact information) to resolve any complaint, dispute or claim involving You and a third party. References to our “Affiliates” include our owners, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors and advertisers, including every party involved in the creation or development of the Platform and the Services or their content.

Security and password

You are solely responsible for maintaining the confidentiality of your account and password and for all statements, acts or omissions made through your account and password, including any charges incurred. You should take reasonable steps to ensure that others do not have access to your password. Our staff will never ask you for your password. You may not transfer or share your account with anyone, and we reserve the right to immediately terminate your account in the event of any unauthorized transfer or sharing.

International use

Although the Platform may be accessed from anywhere in the world, we make no representation or warranty that its content is appropriate or available for use in locations outside the United States. Access from territories where its content is illegal or prohibited is not authorized. Those who choose to access the Platform from other locations do so on their own initiative and are responsible for compliance with local laws. Any offer of products, services or information made through the Platform where prohibited is void.

Termination of use

You acknowledge that, at our sole discretion, we may terminate or suspend your access to all or part of the Platform, with or without notice and for any reason, including breach of these Terms. Any suspicious, fraudulent, abusive or illegal activity may be grounds for termination of the relationship and may be referred to the appropriate authorities. On termination or suspension, your right to use the Services ceases immediately, and you acknowledge that we may deactivate or delete your account and related information and files and prevent further access to them. We will not be liable to you or any third party for any claim or damage arising from a termination, suspension or other action taken in connection with it.

Description of the service and general information

PickStub is a secondary marketplace for live event tickets. We sell tickets directly to You and process your payment for the purchase. We are not the organizer, promoter, venue or producer of any event, and the underlying events are produced by third parties (each an “Organizer”). We source ticket inventory through our ticket inventory provider, and confirmation of your order depends on the availability and policies of that inventory at the time of purchase. Prices are shown as individual prices or packages as described on the Platform. These Terms constitute a contract of adhesion; reading and understanding them will help you exercise your rights as a consumer. We suggest you keep your order confirmation, including the order number shown on screen and sent to your email, as it identifies your transaction and is essential for any clarification handled through PickStub. You expressly understand and accept that our sale of a ticket does not guarantee that an event is free of risk to the health or safety of attendees, and we are not responsible, directly or indirectly, for any loss or damage you or those attending with you may suffer before, during or as a consequence of an event, including events arising from acts of God or force majeure such as weather, health risks, pandemics, or acts of nature that may delay, interrupt or prevent an event.

By purchasing tickets through PickStub, you represent and warrant that: (i) you are of legal age in your jurisdiction; (ii) you have read, understood and expressly accept these Terms and consent to the use of electronic means; (iii) you have full legal capacity to enter into contracts; (iv) you use the Platform only to purchase tickets for yourself or for another person for whom you are authorized to act; (v) you are eligible to use the Services and are not barred from doing so under any applicable law or sanctions program; and (vi) all information you provide is true, accurate, current and complete.

Order process

When you place an order on the Platform, you authorize us to process the order and to charge your selected payment method. Please pay attention to our electronic communications, where we inform you of the progress and status of your order. Completion of the order depends on full and timely payment of the price and any applicable fees. Until payment is confirmed, the order remains subject to confirmation and may be canceled without liability if the underlying inventory is no longer available. The order is definitively confirmed with the issuance and electronic delivery of the ticket or its confirmation, together with the corresponding receipt. If your order is finally rejected for any reason (for example, insufficient card balance, lack of availability or a change in price), we will inform you of the available options or, at your request, refund the amounts paid. If after placing your order you do not receive a confirmation email, please check your spam folder or log in to your account with the order number, and contact the email or channels listed on the Platform. The information published on the Platform regarding prices, characteristics, availability, restrictions and cancellation or refund policies is provided in real time and may originate in part from our ticket inventory provider. We make our best efforts to provide correct and accurate information but are not responsible for typographical or manifest errors, temporary interruptions or inaccuracies. The Platform may contain links to third party sites and resources; such links do not constitute our endorsement of any third party, and your use of those sites is not governed by these Terms.

Registration and data

To access some Services, the User must create an account and generate a password (“Registration Data”). By registering, you represent that all information provided is true and correct and that you are authorized to use it to purchase tickets through the Platform. You must complete every field with accurate, complete, current and truthful data in order to place valid orders. You are responsible for the truthfulness, accuracy, validity and authenticity of the personal data you enter, and you undertake to keep it updated. We are not responsible for the accuracy of the personal data you provide. You must provide a valid email address as your point of contact; this is our means of contacting you, and you will be deemed to have received timely notice of your order confirmation and any incident through the information sent to that address. If the email address you provide contains an error, you may not receive communications essential to processing your order. You must provide accurate billing data where required to issue the corresponding receipt, and we are not liable for documents issued with incorrect information provided by you. Where the event or our ticket inventory provider requires it, the personal data of the User and of the persons designated to use the tickets must match their identification and the data provided on the Platform; we are not responsible for any inconsistency or damage caused by incorrect data, and we reserve the right to deliver tickets with information different from that provided by the User where the Organizer or provider requires it.

Prices and description

We are not affiliated with any association, federation, committee, league, team, artist, venue, box office or primary ticketing agency. The selling price of any ticket reflects market demand as well as the difficulty of obtaining or providing it, and may be above or below face value. Prices may fluctuate on the open market depending on demand; our retail price is final once your order is confirmed. Occasionally a price is listed incorrectly on the Platform. If your order has not been confirmed, we reserve the right to cancel it and your payment method will not be charged. If your order has been confirmed and a charge has been incurred, we will make every effort to substitute a similar ticket; in either case you may be contacted with your options or informed that your order has been canceled. Tickets may include descriptive notes, and it is your responsibility to review those notes for any detail associated with the ticket, such as event location, seat information or restrictions. If you are unsure about a description, contact us before ordering. We do not issue refunds, cancellations or exchanges for assumed features not detailed in the descriptive notes.

Purchasing process and payment

When you buy one or more tickets through PickStub, you must pay (i) the ticket price, (ii) any applicable taxes, fees or charges, and (iii) any service fee for our intermediation, as shown at checkout. The price shown at checkout, including any applicable fees, is the final price you pay; there are no hidden fees added after checkout. Your purchase is processed by our payment processor, Stripe. We never see or store your full card number; we keep only the transaction identifiers linked to your order. You agree to provide accurate and complete information necessary to process the charge, including valid and current payment information, your name, address, phone number and any other information required. If your card issuer refuses payment, we may, at our discretion, suspend or terminate your order and require payment by another permitted method, and we may charge a reasonable fee to reinstate a suspended or terminated order. It is your responsibility to verify the accuracy of your order. After placing your order you will receive order related emails, including your confirmation. You assume responsibility for receiving and reading all correspondence we send by email and for complying with the instructions associated with your order; we are not responsible for emails filtered into spam or blocked by your software or server. If legal action is necessary to collect balances due and unpaid, you agree to reimburse all reasonable expenses incurred to recover the amounts, including attorneys’ fees. Sales are final and non-transferable to a person other than the one stated in the data you provide. Any amounts owed to PickStub that remain unpaid within the established terms may accrue a default charge of five percent (5%) per month on the amount owed until the debt is paid.

Delivery of tickets and associated documentation

Delivery of tickets and any associated documentation is carried out according to the modalities set out in these Terms and the conditions of the Organizer or our ticket inventory provider, which may vary depending on the event and the date of purchase. Where applicable, delivery will generally occur no later than a reasonable time before the start of the event. The available delivery options, at our discretion, are: electronic ticket, sent to the email address you provided; or delivery at a specific point previously agreed with you. It is your responsibility to ensure you can receive the documentation according to the delivery method notified.

Responsibility for attendee data

The User is solely responsible for providing accurate, complete and truthful data of the final attendee who will use the tickets or any document required for access to the event. The issuance, personalization and delivery of tickets are carried out exclusively on the basis of the information provided by the User; any error, omission, substitution or incorrect data is the sole responsibility of the User. If the User provides their own information instead of the attendee’s data, or information that does not correspond to the person who will use the tickets, the User acknowledges and agrees that PickStub is not responsible for any rejection, blockage, restriction, cancellation, delivery failure or inability to use the tickets when the Organizer or provider limits the number of transfers allowed, limits the maximum number of tickets a single holder may receive, requires an exact match between the holder’s data and the issued tickets, or applies any security, identity verification or anti-fraud measure. If such restrictions make it impossible to deliver or use the tickets, the User has no right to a refund, compensation, replacement or credit, and assumes all consequences arising from the failure to provide correct attendee data. The User accepts that PickStub may deliver the tickets using the information required or permitted by the Organizer or provider, even if it differs from that provided by the User, without generating any liability for PickStub. Proper delivery and use of the tickets depend on compliance with the Organizer’s policies and the accuracy of the data provided.

Changes to the delivery method

Delivery methods are established by the Organizer or our ticket inventory provider and may change without prior notice. If the originally planned delivery method is modified, the User will be notified at the email provided. PickStub is not responsible for these changes or any inconvenience they may cause. It is the User’s responsibility to ensure receipt of the documentation according to the updated delivery method as notified.

Incident reporting

If the User detects any problem related to the tickets or associated documentation (including, without limitation, electronic tickets, vouchers or any other document necessary for event access), it must be reported immediately and no later than thirty (30) minutes after the start of the event. PickStub will make reasonable efforts to resolve any incident reported within this timeframe. The User acknowledges that any report made after this time limit does not guarantee any resolution by PickStub, and in such cases the User assumes full responsibility for the resulting consequences.

Loss of rights

If the User does not comply with the notified delivery conditions, PickStub reserves the right to consider the transaction canceled. In such cases, the User forfeits the right to receive the purchased tickets and is not entitled to any refund or compensation.

Refunds, cancellations and penalties

All orders are subject to availability and are not confirmed until the corresponding price has been fully paid and we have sent the confirmation; once sent, the order is considered a final sale. We reserve the right to cancel an order at any time if the ticket is no longer available at the advertised price. If the User fails to make any payment to which they are obligated within the established terms, the User acknowledges that irreparable damage is caused to us, and we reserve the right to terminate the order and to apply, as a penalty for non-compliance, up to one hundred percent (100%) of the total cost of the tickets; any amount paid may be withheld or offset until the amount due is paid, without prejudice to our right to claim any applicable damages, including attorneys’ fees. The User may cancel an order only where the ticket and the Organizer’s policies permit it, and is subject to the cancellation rates and deadlines of each Organizer or provider. Once we have confirmed an order, if a cancellation is applicable, the User accepts that we may withhold and offset the amounts previously paid as a cancellation penalty. Any service fee charged by PickStub is non-refundable, including in the event of cancellation or rescheduling, since it corresponds to a service actually provided. If you do not use the tickets on the date and time indicated, or arrive late, a “no show” is configured, and you have no right to demand a total or partial refund and are subject to the applicable penalties. Except as expressly set out in this section, nothing entitles you to a cancellation or refund for any cause.

Cancellation and rescheduling of events

If an event is canceled and is not rescheduled, the refund policy for the ticket cost will follow PickStub’s policies in effect at the time you request the refund. Expenses incurred for handling or processing your order, including fees applicable to card transactions, are non-refundable. Please contact us for reimbursement instructions. If an event is canceled by the Organizer, we are not obligated to reimburse any incidental expenses incurred as a result of your plans, including transportation, lodging or car rental expenses, and we are not responsible for the actions of any Organizer when an event is modified or canceled. If an event is rescheduled or postponed, please contact us to verify the next steps according to PickStub’s policies, adjusted to the conditions granted by the Organizer. In most cases, the original tickets will be used to access the rescheduled event, and no refund or exchange is made for rescheduled or postponed events. If the Organizer reschedules the date, the tickets remain valid for the new date, and it is your responsibility to verify all updated information about the new date through the Organizer’s official channels before attending. We assume no responsibility for expenses or refunds related to rescheduled or postponed events, and service and processing fees remain non-refundable.

Health and safety at events

Because there is an inherent risk of exposure to communicable diseases in any public place where people are present, by purchasing tickets and attending an event you voluntarily assume, on behalf of yourself and all those attending with you, all risks related to such exposure. All events are subject to the health and safety policies of the Organizer and venue, which may be developed or updated between your purchase and the date of the event, and you agree to comply with them. Your attendance is conditioned on such compliance; if your admission is denied or revoked because you failed or refused to comply with the Organizer’s policies, you are not eligible for a refund. You agree that neither you nor anyone in your group will attend an event if, on the day of the event, you or anyone in your group has tested positive for or been exposed to a contagious illness that public health authorities indicate should keep you home, or is experiencing symptoms of such illness. On behalf of yourself and your Related Persons, you release and agree not to sue each of the Released Parties with respect to any claim relating to exposure to a communicable disease, entry to or presence at any event, or compliance with the protocols applicable to the event, whether caused by any action, inaction or negligence of any Released Party or otherwise. “Related Persons” means your heirs, assigns, executors, administrators, next of kin, any person attending the event with you, and any person you represent you are authorized to act for. “Released Parties” means the Organizers, PickStub and Ticketero LLC and each of their respective Affiliates, agents, owners, officers, directors, employees and contractors.

Limitation of liability

The quality and delivery of the underlying event is the responsibility of the Organizer, and warranty claims regarding the event itself must be made with the corresponding Organizer, who is obligated to comply under applicable law. PickStub cannot guarantee that the Services or the content of the Platform will meet your requirements, be uninterrupted, be timely, be error free, or that results obtained from their use will be accurate or reliable. PickStub does not guarantee that any error in the Services will be corrected, and shall not be liable for damages, direct or indirect, resulting from the use of, or inability to use, the Service or the Platform. You acknowledge that the Platform may include technical, typographical or other errors and inaccuracies, and we may make changes to the materials and services on the Platform, including prices and descriptions, at any time without notice. To the fullest extent permitted by applicable law, use of the Platform and the Services is at your sole risk, the Platform is provided on an “as is” and “as available” basis, and we disclaim all warranties, conditions and representations of any kind, whether express, implied, statutory or otherwise, and we are not liable for any indirect, incidental or consequential damages, or for errors in listings, price changes, or issues beyond our reasonable control, such as event cancellations by the Organizer or venue.

Indemnification

At our request, you agree to defend, indemnify and hold PickStub, Ticketero LLC and our Affiliates harmless from and against any liability, claim and expense, including attorneys’ fees, arising out of your use or misuse of the Platform or the Services or your breach of these Terms. We reserve the right, at our expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses.

Third party content and links

Through the Platform, PickStub may make available information of a commercial or advertising nature, whether its own or from third parties. PickStub does not endorse or guarantee, and assumes no responsibility for, the services or products marketed by third parties; the Platform serves as a channel of communication, and it is your responsibility to access referred sites and to verify the terms of the services offered by third parties. All information made available on the Platform, such as images, names, trademarks and other intellectual property, is legitimately used by PickStub either because it is our property, because we are authorized to make it available, or because applicable law permits it.

Electronic communications

In compliance with applicable provisions on electronic records, messages sent by electronic means have evidentiary character. The exchange of electronic messages may give rise to the creation, modification and extinction of obligations. All notifications between you and us will be in writing and made by email, to [email protected] on our side and to the email address you provide on yours; notwithstanding the foregoing, notifications may be sent to the email address used to create your account. We may also post notices or messages through the Platform to inform you of changes or other important matters, which constitute notice to you.

Information management

The information collected by PickStub in the transactions carried out is provided by Users freely and voluntarily, to be managed by PickStub or those it designates, which involves its collection, storage, and internal circulation within PickStub, as well as communication to Users of information related to the Service. The data collected may be analyzed to improve our operation, catalog and business strategy. The User may exercise the right to access, update, rectify and delete existing personal data in accordance with our Privacy Policy posted at pickstub.com. PickStub is responsible for the processing of the personal information collected through the Platform, a responsibility that may be delegated to a third party processor under contract to ensure adequate treatment. By accepting these Terms, the User declares having read and accepted our Privacy Policy available at pickstub.com.

Cookies and web beacons

Cookies are text files stored on the user’s device when browsing a website, which allow the server to remember certain data about a user, including preferences. Web beacons are images inserted in a page or email that can be used to understand usage, such as the IP address, interaction time and browser type. When you use the Platform, PickStub may use cookies and similar technologies to identify you in order to improve your experience and to maintain trust and security on the website. We use only the cookies needed for the site to work, such as session and security cookies, and we do not use advertising or cross-site tracking cookies. We may collect and analyze aggregated, non-identifying technical data about use of the Services to operate, support and improve them. You can block or delete cookies in your browser settings, but essential cookies are needed for the site to function properly.

Copyright and intellectual property

The Platform and any software, ideas, trademarks, processes, data, text, media and other content available on the Platform may be protected by intellectual property and other applicable laws. The PickStub name, logo and the design and original content of the site belong to PickStub and Ticketero LLC. Event, team, artist and venue names are the property of their respective owners and are used for identification only. You agree not to modify, copy, reproduce, rent, lend, sell, distribute or create derivative works based on the Platform, its HTML, CSS, JavaScript, visual design elements or concepts, in whole or in part, and not to reproduce, duplicate, sell or exploit for commercial purposes any portion of the Services or the content of the Platform.

Force majeure

In addition to any exclusion of liability provided by applicable law, we are exempt from liability for non-delivery or delay in delivery of tickets or Services arising from any event beyond our reasonable control, foreseeable or not, such as labor unrest, pandemic, health hazards, war, riot, fire, accident, adverse weather, inability to secure transportation, governmental act or regulation, and other causes beyond our reasonable control, whether or not similar to those listed.

Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be construed consistently with applicable law to reflect the original intentions of the parties, and the remaining provisions shall remain in full force and effect.

No waiver

Our failure to take any action to enforce or exercise any provision of these Terms or any related right shall not constitute a waiver of that right or provision.

Entire agreement

You expressly declare that you have legal capacity to use the Platform and to enter into the contracts that may be generated, and that you have provided real, truthful and reliable information. You declare that you have read, understand and accept everything set out in these Terms, and undertake to comply with the duties and obligations expressed here. These Terms constitute the entire agreement between the parties with respect to the Services and supersede all prior agreements and understandings with respect to them.

Governing law and jurisdiction

For matters not covered by these Terms, the parties agree to submit to the laws of the State of Florida, United States. For the interpretation and performance of these Terms, regardless of the place of payment, the parties expressly agree to submit first to the jurisdiction of an arbitration panel, only for a conciliatory process. If the matter is not resolved at that stage, the parties agree to submit to the jurisdiction of the competent courts of the State of Florida, United States, expressly waiving any other jurisdiction that may correspond to them by reason of their present or future domicile.

Acceptance

By using the Platform or indicating your acceptance in any way (for example, by creating or logging into your account, or by clicking a control that indicates acceptance), you represent and warrant that you have read, understand and agree to be bound by these Terms. If you do not agree to be bound by these Terms, you may choose not to access or use the Platform or the Services.
